Scope and acceptance
These Terms of Service (โTermsโ) are between FREEZONEX PTE. LTD. (โTier0โ, โweโ or โusโ) and the individual accepting them or the organization that individual represents (โyouโ). They govern your purchase or use of Tier0 Cloud, Tier0 Enterprise and related software, APIs, documentation and support.
You accept these Terms by an express acceptance checkbox, by signing an order that incorporates them, or by another valid method of acceptance. You must have legal capacity to contract and authority to bind any organization you represent. Visiting our website alone does not create a paid subscription.
Express provisions of a separately signed agreement and order take priority over these Terms. An executed data processing agreement takes priority for personal data processing. Service descriptions define purchased features and usage limits; they do not independently change agreed prices, liability or other legal terms.
Services and licences
Cloud is hosted by us. Enterprise is deployed in an environment managed by you or your chosen provider. Features, deployment scope, instances, users, applications, capacity, term and support are defined in the order or checkout you accept. Roadmaps, demonstrations and previews do not promise delivery of unreleased features.
For the agreed term and scope, we grant you non-exclusive access to the services or a software licence for your lawful business, including application delivery and authorized end-user access allowed by your order. Unless your order permits it, you may not resell the Tier0 platform itself, rent platform accounts or host the platform for unrelated third parties. Building a business application on Tier0 does not transfer ownership of that
application to Tier0.
Accounts and organization administration
Keep account and billing information accurate. Manage administrator roles, member access, API keys and other credentials, and revoke access that is no longer needed. Organization administrators may manage workspaces, members and related content within the permissions available in the product. You must give your users any required notices.
You are responsible for your use and that of your authorized users, but not for unauthorized access caused by our breach or fault. Promptly report suspected account misuse, exposed credentials or other security issues through Contact us, and cooperate on reasonable protective measures.
Acceptable use
Do not use the services for unlawful activity, infringement, fraud, malware distribution, unauthorized access or system disruption. Do not bypass permissions, billing, licensing or usage limits, interfere with other customers, or obtain their non-public data. Do not reverse engineer proprietary Tier0 software or remove proprietary notices, except as expressly permitted by applicable law or an open-source licence.
Obtain written authorization and follow the agreed scope before penetration testing, load testing or validating vulnerabilities against systems we host. You may submit vulnerability reports through Contact us. Reporting an issue does not authorize access to another person's data or continued exploitation.
Customer content and intellectual property
You or the relevant rights holder retain rights in customer content, including data, business applications, your code, configurations, files and prompts that you upload, connect, create or store. You must have the rights needed to provide that content and authorize its processing. Tier0 retains rights in its platform, general-purpose tools, documentation and branding. Existing rights and licences continue to apply to third-party and open-source material.
You authorize us to process customer content only as needed to perform this agreement, provide support, maintain security and comply with law. This is not a sale or transfer of ownership. It does not grant us permission to use non-public customer content for publicity or to train general-purpose AI models; either use requires separate express authorization.
We may use product feedback you voluntarily submit to improve the services. This permission does not extend to customer content or your confidential information, or allow us to use your name, logo or customer story for publicity without consent.
Data protection and security
Our Privacy Policy describes processing of personal information relating to accounts, contacts and website visits. When we process personal data in customer content on your behalf, applicable law, your lawful instructions and the parties' data processing agreement govern. Any required agreement must be in place before that processing begins. The Privacy Policy does not replace a legally required data processing agreement.
We are responsible for reasonable technical and organizational safeguards within our control and for security incident notifications required by law and contract. You are responsible for access configuration, lawful content, business backups, and endpoints, networks and integrations you control. You operate and upgrade Enterprise infrastructure unless otherwise agreed. This allocation does not remove either party's own contractual or statutory obligations.
Data location, international transfers, subprocessors, backups and recovery objectives are governed by the applicable service description and data processing agreement. Confirm the appropriate arrangement with us before submitting data that requires specific sector certifications, localization or regulated processing. Using Tier0 alone does not establish compliance with those requirements.
AI, automation and industrial use
AI-generated applications, code, queries, analyses and suggestions may be inaccurate, incomplete or similar to another user's output. Apply human review, testing and appropriate security checks before use. Do not treat output as verified professional advice or a guarantee of production safety.
As between you and us, you may use generated output as permitted by these Terms, applicable law and third-party licences. Generation does not give us rights in your own content. We do not guarantee that output is exclusive, eligible for intellectual property protection, or free of third-party rights.
Limit Agent, workflow and third-party model permissions to what the task requires. Use appropriate approvals, backups and stop mechanisms for production writes, equipment control and other significant operations. Unless expressly agreed in writing and appropriately validated, Tier0 is not a substitute for safety-critical systems such as emergency stops, safety interlocks or life-support controls.
Before enabling a third-party model or external connection, review its processing scope, retention rules and applicable terms. Integration with Tier0 does not by itself grant a third party unrestricted rights to customer content.
Third-party services and open-source software
Cloud resources, models, plugins, data sources and other third-party services that you independently select or connect are subject to their own contracts, charges and licences. We do not control their independent operation, but remain responsible for our own agreed integration and service obligations.
Open-source software is provided under its accompanying licences. These Terms do not restrict rights expressly granted by those licences or automatically provide commercial support or an SLA for standalone open-source software. Follow applicable licensing, attribution and notice requirements when distributing applications or components.
Fees, renewal and cancellation
Fees, currency, taxes, billing periods, usage measurement and payment deadlines are set out in the order or checkout you accept. Additional seats, capacity and other paid items are charged under disclosed rules you have accepted. These Terms do not independently create undisclosed charges.
Subscriptions renew automatically only when the order or checkout clearly states this and you agree. Cancel before renewal through the available subscription controls or Contact us. Unless otherwise agreed, cancellation takes effect at the end of the current paid period and stops subsequent renewal charges.
Unless required by law, agreed in your order, or refundable under these Terms because of our breach or early termination, used periods and unused periods you voluntarily stop using are generally non-refundable. We give at least 30 days' notice of renewal price changes, without retroactively changing the current price of an accepted order.
For undisputed overdue amounts, we may suspend the affected paid services after notice and at least 14 days to pay. The parties will investigate timely, reasonably supported billing disputes; undisputed amounts remain payable.
Updates, maintenance and service levels
Cloud is generally updated centrally. Enterprise security fixes and feature updates are generally delivered through versioned images, deployment files or applicable offline packages for you to install as instructed. Supported versions, upgrade compatibility, support hours and response targets are governed by your order and applicable support policy. These Terms do not promise perpetual maintenance of every historical version.
For a planned removal of a principal purchased feature or a materially incompatible change, we normally give at least 30 days' notice and describe a reasonable migration path. If urgent security risks, legal requirements or third-party restrictions outside our control prevent advance notice, we will explain as soon as practicable and take reasonable mitigation measures. If a change materially reduces the current paid service without a reasonable alternative, you may terminate the affected part and receive a refund of prepaid fees for the unused period.
Uptime, recovery objectives, service credits, round-the-clock support and fixed remediation deadlines apply only when expressly agreed in an SLA or order. Trial, free and beta features may have additional limits and do not automatically receive paid-service commitments. Conversion to a paid service requires your separate confirmation.
Confidentiality
Each party will use information identified as confidential, or reasonably understood to be confidential from its nature or disclosure circumstances, only to perform this agreement. It will protect that information with at least reasonable care and disclose it only to personnel, advisers or providers who need to know and have corresponding confidentiality obligations. Non-public customer business content is confidential information.
The restriction does not cover information lawfully public, lawfully known beforehand, independently developed or lawfully obtained from a third party entitled to disclose it. For legally required disclosure, provide prior notice where permitted and limit disclosure where practicable. Confidentiality continues for three years after termination; trade secrets remain protected while legally qualifying as such, and personal data obligations continue under applicable law and the data processing agreement.
Suspension and termination
We may suspend access to the extent necessary when there are reasonable grounds to identify an imminent security risk, serious unlawful activity or infringement, harm to other customers, or a legal requirement to stop service. Unless notice is legally prohibited or emergency action is needed, we will explain the reason, scope and conditions for restoration, and restore access reasonably promptly after resolution.
Either party may terminate an affected order for a material breach not cured within 30 days after written notice, or immediately for an incurable material breach. You may cancel renewal under Section 9. If we end a paid service early without your breach, we will give at least 60 days' notice and refund prepaid fees for the unused period. Legal requirements or urgent security reasons may prevent advance notice but do not remove applicable refund obligations.
Data and licences after termination
Export needed content before stopping use. Unless otherwise agreed, after a paid Cloud service ends we provide a 30-day retrieval period for customer content we actually host and may lawfully retain. Retrieve it using available export capabilities or by contacting support. Retrieval does not include continued production operation. Additional migration work or resource charges must be separately agreed in advance.
Within 30 days after the retrieval period, we will delete the relevant customer content from active systems. Backup copies will be deleted or irreversibly anonymized through rotation within a further 90 days. Legally required records, information necessary for dispute resolution, and account and billing information are handled under the relevant legal basis and Privacy Policy. Retained information remains protected and is not used for unrelated purposes.
Retention for trial, free or beta services follows rules disclosed when you enable them; they should not be your sole backup. You control data in your Enterprise environment. Cloud retrieval and deletion arrangements do not apply to data we do not hold. When a term-based software licence ends, stop using the software under that licence; separately granted perpetual licences and open-source rights are unaffected.
Service commitments and disclaimers
We will provide paid services with reasonable skill and care and in material conformity with their applicable description. Report material non-conformity promptly. Within 30 days after notice, we will correct it or agree a reasonable correction plan with you. If neither occurs, you may terminate the affected service and receive a refund of prepaid fees for the unused period.
Beyond express commitments and guarantees that cannot lawfully be excluded, we do not guarantee uninterrupted or error-free service or a particular commercial, compliance or AI outcome. Arrange testing, backups and continuity measures appropriate to your business. Trial and beta features are provided as available; this does not exclude our confidentiality or data protection obligations or liability that cannot lawfully be excluded.
Limitations of liability
To the extent permitted by law, neither party is liable for indirect or consequential loss arising from this agreement. Each party's aggregate liability is limited to the fees paid and payable for the affected services in the 12 months preceding the first event giving rise to the claim. For entirely free services, the limit is USD 1,000 or its equivalent. An expressly agreed different or higher limit in a separate agreement takes priority.
These exclusions and limits do not apply to fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or liability that cannot lawfully be limited or excluded. They do not remove obligations to pay service fees or provide refunds expressly required by these Terms. No provision restricts non-waivable consumer rights.
Third-party claims
For third-party claims relating to customer content, services or intellectual property, the parties will provide prompt notice, reasonable cooperation and avoid admissions or settlements that bind the other without consent. Each party is responsible under applicable law and for its own fault or breach. These Terms do not require you to indemnify us for losses caused by our fault or breach. Any specific intellectual property defence or indemnity commitment must be set out in a separately signed agreement.
Governing law and disputes
Unless otherwise agreed in writing and subject to mandatory applicable rules, these Terms are governed by Singapore law. The parties will first seek resolution in good faith through designated contacts. Disputes unresolved within 30 days after written notice are subject to the exclusive jurisdiction of the competent courts of Singapore. This process does not prevent urgent relief or steps needed to preserve rights within a legal deadline.
Changes, notices and general terms
We will give at least 30 days' notice of material changes through your account email or another reasonably effective channel, identifying the changes and their effective date. Materially adverse changes to a current paid period normally apply at renewal or with your separate agreement. Changes required earlier by law or urgent security needs will be notified as soon as practicable. We will obtain express acceptance where renewed consent is required.
You may decline to renew if you disagree with a change. If it must take effect during the current period and materially reduces purchased service rights, you may terminate the affected part and receive a refund of prepaid fees for the unused period. Changes do not apply retroactively to existing disputes.
Neither party may assign this agreement without the other's written consent, except on notice in a merger, reorganization or transfer of the relevant business where the successor assumes all obligations and the other party's rights are not materially reduced. A party affected by events beyond its reasonable control must promptly notify and mitigate. If a material service impact continues for over 30 days, either party may terminate the affected part, with prepaid fees for unprovided service refunded.
Invalidity of one provision does not affect the lawful application of the others. Delay in exercising a right is not a waiver. Provisions intended by their nature to survive, including accrued fees, intellectual property, confidentiality, liability limits and dispute resolution, survive termination. If the English and Chinese versions differ, the English version controls to the extent permitted by law, unless otherwise agreed in writing.
For questions about these Terms, subscriptions, data retrieval or security, contact us at https://tier0.app/talk-to-team or info@freezonex.io. Send written legal notices using the method specified in your order, or otherwise to that email, identifying the relevant account, organization and matter.
